These Terms of Service ("Terms") govern your access to and use of the websites, software, applications, dashboards, reports, analytics, artificial intelligence features, educational resources, and other services provided by Visibility Insider, LLC ("Visibility Insider," "we," "us," or "our"), collectively referred to as the "Services."

By creating an account, purchasing a subscription, accessing the Services, or otherwise using Visibility Insider, you agree to these Terms. If you use the Services on behalf of a company or other organization, you represent that you have authority to bind that organization to these Terms.

1. The Services

Visibility Insider provides software, analytics, business intelligence, visibility analysis, professional profile analysis, reporting, educational resources, and related tools intended primarily for business and professional users. Features may include digital visibility analysis, visibility scoring, search and local visibility intelligence, AI visibility analysis, professional profile analysis, real estate portal profile analysis, real estate production and market intelligence, competitive analysis, reviews and reputation intelligence, reports, strategy-session preparation, recommendations, automated communications, webinars, educational resources, AI-assisted analysis, and other related functionality. Features may change, be added, modified, restricted, or discontinued over time.

2. Eligibility and Accounts

You must be at least 18 years old and capable of entering into a legally binding agreement to use the Services. You agree to provide accurate account information and keep it current. You are responsible for maintaining credential confidentiality, activities conducted through your account, restricting unauthorized access, promptly notifying us of suspected unauthorized access, and ensuring that users you authorize comply with these Terms.

3. Subscriptions and Billing

Certain Services may require a paid subscription. By purchasing a subscription, you authorize Visibility Insider and its payment processor to charge applicable fees, taxes, and disclosed charges using your selected payment method. Unless otherwise stated, subscriptions automatically renew for successive billing periods, fees are charged in advance, cancellation takes effect at the end of the then-current paid billing period, and fees already paid are non-refundable except where required by law. We may change subscription pricing upon advance notice, ordinarily effective at a subsequent renewal period.

4. Authorized Third-Party Connections

Visibility Insider may permit you to connect accounts, profiles, APIs, data sources, or services provided by third parties. By connecting a third-party service, you represent that you are authorized to access and connect that account or information, authorize Visibility Insider to access and process information made available through the connection, and will comply with applicable third-party terms and policies. Third-party providers may modify, restrict, suspend, or terminate their APIs or functionality at any time. Visibility Insider is not responsible for the availability, accuracy, functionality, policies, or actions of third-party services.

5. Google Services

Certain features may integrate with Google services. Your use of those features may also be subject to applicable Google terms, API policies, and user-data requirements. Connecting a Google service does not create any partnership, sponsorship, endorsement, or affiliation between Google and Visibility Insider. Visibility Insider will request authorization before accessing Google account information requiring user authorization.

6. Real Estate and MLS Data

Visibility Insider may display or analyze real estate listings, transaction information, production statistics, market information, professional information, or other data obtained from multiple listing services, licensed data providers, public sources, customers, or other third parties. Access may vary by market, user, MLS, provider, subscription, and licensing arrangement. You acknowledge that real estate information may contain errors, delays, omissions, or inconsistencies; historical or production information may not include all transactions; MLS or provider restrictions may limit information; and data availability may change without notice. You agree not to extract, redistribute, resell, reproduce, or use licensed MLS or real estate information except as expressly permitted through the Services and applicable provider terms.

7. Visibility Scores and Proprietary Analytics

Visibility Insider may generate proprietary scores, benchmarks, classifications, recommendations, rankings, and analytical outputs, including a Visibility Score, Advisor Priority Score, component scores, opportunity classifications, or similar metrics. These outputs may incorporate multiple sources and proprietary methodologies. Methodology, weighting, normalization, transformation, scoring logic, models, formulas, algorithms, benchmarks, and related analytical processes constitute proprietary information and may include confidential information and trade secrets of Visibility Insider. Visibility Insider is not required to disclose proprietary scoring formulas, weights, algorithms, or methodologies except where required by applicable law. Scores are analytical tools and should not be interpreted as guarantees of performance or objective measures of professional quality.

8. Artificial Intelligence

Certain features use artificial intelligence or machine learning to analyze information, generate summaries, identify patterns, explain results, produce recommendations, or assist users. AI-generated output may be inaccurate, incomplete, outdated, misleading, or inappropriate for a particular situation. You are responsible for reviewing AI-generated information before relying on or communicating it. Visibility Insider does not guarantee the accuracy of AI-generated content.

9. No Guarantee of Results

Visibility Insider does not guarantee Google rankings, Google Maps rankings, AI recommendations or citations, search visibility, leads, referrals, listings, closings, transaction volume, revenue, client acquisition, conversion rates, or any other business result. Digital platforms, search engines, AI systems, MLS systems, and third-party services continuously change their algorithms, data, policies, and functionality. Past performance, historical scores, recommendations, or benchmarks do not guarantee future results.

10. Professional and Business Information Only

Visibility Insider is an analytics and business-intelligence platform. The Services do not constitute legal, tax, accounting, financial, lending, title, real estate brokerage, investment, or other regulated professional advice. Users are responsible for determining whether their activities comply with applicable laws, regulations, professional obligations, company policies, MLS rules, advertising requirements, and industry-specific requirements.

11. RESPA and Referral Compliance

Visibility Insider does not require or condition use of the Services, reports, educational resources, analytics, or other benefits upon the referral of settlement service business. Users are solely responsible for ensuring that their use of Visibility Insider complies with the Real Estate Settlement Procedures Act (RESPA), Regulation X, applicable state laws, company compliance policies, and other requirements governing referral relationships, marketing arrangements, gifts, promotional activities, and settlement services. Visibility Insider does not provide legal advice regarding whether a particular user's marketing, referral, co-marketing, sponsorship, or business-development activity complies with RESPA or other applicable law.

12. Acceptable Use

You may not use the Services to violate law; infringe intellectual-property or privacy rights; access accounts or information without authorization; scrape, crawl, extract, or obtain third-party data in violation of applicable terms; interfere with security or operation; introduce malware; bypass restrictions; reverse engineer the Services except where expressly permitted by law; discover or reconstruct proprietary scoring algorithms or methodologies; excessively burden the Services; impersonate others; submit false or misleading information; resell or sublicense the Services without authorization; or use data obtained through Visibility Insider in violation of provider terms. We may suspend or terminate access for violations.

13. Customer Data

As between you and Visibility Insider, you retain rights in information and materials you submit to the Services ("Customer Data"). You grant Visibility Insider a non-exclusive right to host, process, reproduce, transmit, analyze, and otherwise use Customer Data as reasonably necessary to provide the Services, generate requested analytics and reports, maintain and secure the Services, comply with legal obligations, and improve the Services as permitted by applicable law and our Privacy Policy. You represent that you have the necessary rights and permissions to provide Customer Data.

14. Intellectual Property

The Services, including software, interfaces, designs, databases, documentation, branding, scoring systems, methodologies, reports, algorithms, workflows, graphics, and other proprietary materials, are owned by Visibility Insider, LLC or its licensors and are protected by applicable intellectual-property laws. Except for the limited right to use the Services under these Terms, no intellectual-property rights are transferred to you. "Visibility Insider," "Visibility Score," associated logos, product names, and other branding may constitute trademarks or proprietary identifiers of Visibility Insider, LLC.

15. Feedback

If you provide suggestions, ideas, recommendations, or other feedback concerning the Services, you grant Visibility Insider the right to use that feedback without restriction or compensation. This does not grant Visibility Insider ownership of Customer Data.

16. Confidentiality

Certain non-public aspects of the Services, including proprietary scoring methodologies, unreleased functionality, technical documentation, business information, or information identified as confidential, may constitute confidential information. You agree not to disclose or use such confidential information except as necessary for your authorized use of the Services.

17. Third-Party Services

The Services may depend upon or integrate with third-party providers. Visibility Insider does not control and is not responsible for third-party availability, outages, data accuracy, API changes, terms, pricing, security incidents, or discontinuation. We may modify or discontinue features dependent on third parties if those services become unavailable, restricted, commercially impractical, or incompatible.

18. Suspension and Termination

We may suspend or terminate access if you materially violate these Terms, payment is overdue, your use presents a security or legal risk, a third-party provider requires suspension, continued service would violate law or contractual obligations, or suspension is necessary to protect Visibility Insider, users, or third parties. Sections that by their nature should survive termination will survive.

19. Disclaimers

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." VISIBILITY INSIDER DISCLAIMS WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, AVAILABILITY, AND WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR THAT ALL DATA OR ANALYTICAL OUTPUT WILL BE COMPLETE OR ACCURATE.

20. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, VISIBILITY INSIDER, LLC AND ITS OFFICERS, MEMBERS, EMPLOYEES, CONTRACTORS, AFFILIATES, AND LICENSORS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, BUSINESS OPPORTUNITIES, GOODWILL, OR DATA ARISING FROM OR RELATED TO THE SERVICES. TO THE MAXIMUM EXTENT PERMITTED BY LAW, VISIBILITY INSIDER'S AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO VISIBILITY INSIDER FOR THE SERVICES DURING THE TWELVE MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM OR (B) ONE HUNDRED U.S. DOLLARS ($100). These limitations apply only to the extent permitted by applicable law.

21. Indemnification

To the extent permitted by law, you agree to indemnify, defend, and hold harmless Visibility Insider, LLC and its officers, members, employees, contractors, and affiliates from claims, liabilities, damages, losses, and reasonable expenses arising from your violation of these Terms, unlawful use of the Services, Customer Data you provide, violation of another person's rights, unauthorized use of third-party accounts or data, or violation of applicable MLS, data-provider, professional, advertising, or regulatory requirements.

22. Changes to the Services or Terms

We may modify the Services or these Terms from time to time. If we make material changes, we will provide notice as required by applicable law. Continued use after revised Terms become effective constitutes acceptance where permitted by law.

23. Governing Law

These Terms are governed by the laws of the State of Arizona, without regard to conflict-of-laws principles. Any dispute arising from these Terms or the Services will be subject to the state or federal courts having jurisdiction in Arizona unless applicable law requires otherwise. Each party consents to the personal jurisdiction of those courts.

24. General Terms

These Terms and any additional terms expressly incorporated into them constitute the agreement between you and Visibility Insider regarding the Services. If any provision is determined unenforceable, remaining provisions remain in effect. Failure to enforce a provision is not a waiver. You may not assign your rights or obligations without prior written consent. Visibility Insider may assign these Terms in connection with a merger, acquisition, corporate reorganization, or sale of substantially all relevant assets.
